3. Subscriptions and Billing

Access to certain features requires a paid subscription, as outlined in your Order Form. Billing terms, fees, and renewals are governed by the Master Services Agreement (MSA).

4. Intellectual Property

All content and software provided by WILLAY remain our exclusive property. You are granted a limited, non-transferable license to use the platform during your active subscription.

5. Termination

WILLAY may suspend or terminate access to services if you breach these Terms. You may also cancel at any time, subject to our MSA and billing policies.

6. Disclaimer of Warranties

Services are provided "as is" without warranties of any kind, except as expressly stated in our Master Services Agreement (MSA).

7. Limitation of Liability

WILLAY shall not be liable for any indirect or consequential damages. Our maximum liability is limited to the amount you paid in the previous 12 months.

8. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States.

In the event of any conflict between these Terms and the Master Services Agreement (MSA), the terms of the MSA shall prevail. These Terms are intended to complement the MSA and apply primarily to general website or platform usage outside of specific commercial engagements.
